Service Agreement

This agreement governs your relationship with Fruvvi. If you need a custom agreement (enterprise, source code transfer), contact us.

1. Nature of Service – Managed Platform

Fruvvi provides a managed storefront platform service. We build, host, and maintain your storefront on your behalf as an ongoing service. This is not a one‑time website delivery or software license. You are licensing access to our platform for the duration of your active subscription. You have no right to modify, redistribute, or self‑host the underlying code unless a separate Source Code Ownership Transfer agreement has been signed (see Section 13).

2. Client Responsibilities

  • Providing accurate product information, prices, images, and content in a timely manner.
  • Ensuring all product content, listings, and business practices comply with all applicable laws (including consumer protection, copyright, trademark, and export regulations).
  • Responding to revision requests and feedback within 5 working days (Monday–Friday, excluding Indian public holidays).
  • Maintaining timely payment of all subscription fees, activation fees, and any custom project fees.
  • Indemnification: Client agrees to indemnify, defend, and hold harmless Fruvvi from any claims, damages, or expenses arising from Client’s content, products, breach of this agreement, or violation of any law.

3. Fruvvi Responsibilities

  • Building and deploying your storefront per the agreed plan scope or custom project brief.
  • Maintaining secure hosting, SSL certificates, and basic performance monitoring for the duration of your active subscription.
  • Processing revision requests within the turnaround times specified in your plan (see Section 4).
  • Responding to support queries within 24 hours on working days (excluding Indian national holidays).

4. Revision Turnaround & Support Scope

“Working days” means Monday through Friday, excluding public holidays observed in Kerala, India. Revision requests are queued in the order received.

  • Starter (trial) & Basic plans: 3–5 working days per revision request (up to plan limits).
  • Pro plan: 1–2 working days per revision request (unlimited updates within fair use).
  • Custom projects: As agreed in the individual project agreement.

Support covers: technical issues with your store, product updates within plan limits, hosting/SSL queries, and basic troubleshooting. Support does not cover: business strategy, marketing, SEO consulting, or issues caused by your own domain/DNS settings (unless you are on a managed domain plan).

5. Payment Obligations, Reactivation & Auto‑Renewal

Services are conditional on timely payment. Subscriptions renew automatically (monthly or annually) unless cancelled with at least 7 days’ notice for monthly plans, 30 days’ notice for annual plans before the next renewal date. If payment fails, Fruvvi will provide a 7‑day grace period by email. After the grace period, your store may be deactivated. Reactivation requires:

  • Settlement of all outstanding dues;
  • A reactivation fee of ₹299 (India) / $9 (USA) to cover administrative costs.

Fruvvi may suspend service without prior notice if we reasonably believe your account poses a security risk, violates law, or is used for fraudulent activity.

6. Intellectual Property – Content & Platform

Your content remains yours: All product images, descriptions, logos, and brand assets you provide belong to you. Fruvvi does not claim ownership over your content.

Fruvvi platform IP: The storefront system, templates, underlying code, proprietary workflows, design elements, and infrastructure are Fruvvi’s intellectual property. This agreement does not transfer any ownership of the platform. You may not copy, reverse‑engineer, or redistribute any part of the platform.

Source code ownership is not included in standard subscriptions (Starter, Basic, Pro). Full source code ownership, self‑hosting rights, and platform transfer are available only under a separate Source Code Ownership Transfer Agreement (see Section 13).

7. Termination & Data Export

By Client: You may terminate this agreement with 15 days’ written notice via email or WhatsApp. Your store will remain active until the end of the current billing cycle. No partial refunds are issued.

By Fruvvi: We may terminate immediately for breach of acceptable use, non‑payment after grace period, or illegal activity. For other reasons, we will provide 30 days’ notice.

Data export after termination: Within 30 days of termination, you may request a one‑time export of your product data (CSV format) and uploaded images (via downloadable archive). Fruvvi will provide this within 14 days at no additional charge. After 30 days, all client data may be permanently deleted from our active systems (backups may be retained for up to 30 additional days).

8. Acceptable Use & Prohibited Content

You may not use Fruvvi services for:

  • Illegal products, counterfeit goods, or stolen items.
  • Adult content, hate speech, violence, or harassment.
  • Phishing, malware, or any fraudulent activity.
  • Infringing on third‑party intellectual property rights.
  • Any activity that could damage Fruvvi’s infrastructure or reputation.

Fruvvi reserves the right to remove any violating content and terminate services immediately without refund.

9. No Warranty & Limitation of Liability

No warranty: Services are provided “as is” and “as available”. Fruvvi disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. Fruvvi does not warrant that the service will be uninterrupted, error‑free, or completely secure.

Limitation of liability: To the maximum extent permitted by law, Fruvvi shall not be liable for indirect, incidental, or consequential damages, including lost revenue, lost profits, business interruption, customer disputes, or data loss. Fruvvi’s total cumulative liability for any claim arising from this agreement shall be limited to the total fees paid by the Client to Fruvvi in the three (3) months preceding the claim. This limitation applies regardless of the legal theory (contract, tort, negligence, etc.).

10. Force Majeure

Fruvvi shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of government, internet outages, third‑party hosting failures, or cyber‑attacks.

11. Third‑Party Services

Fruvvi integrates with third‑party platforms (e.g., WhatsApp, Google Forms, Cloudflare, domain registrars). Fruvvi is not responsible for the availability, security, or policies of those third parties. Client agrees that any dispute arising from third‑party services is solely between Client and the third party.

12. Governing Law & Dispute Resolution

This agreement shall be governed by the laws of India. Any dispute arising out of or relating to this agreement shall first be attempted to be resolved through good‑faith negotiations. If unresolved within 30 days, the dispute shall be referred to mediation in Kerala, India. If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the courts in Kochi, Kerala, India. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Source Code Ownership Transfer & Custom Agreements

💰 Full source code ownership is NOT included in any standard plan. If you require complete ownership of the storefront source code (including the right to self‑host, modify, and redistribute), Fruvvi offers a Source Code Ownership Transfer Agreement as an optional add‑on under the Custom plan.

Pricing for source code ownership transfer starts at:

  • India: ₹20,000 + applicable taxes (one‑time)
  • International (USD): $200 + applicable taxes (one‑time)
  • Complex or enterprise‑grade systems: Pricing may be higher depending on feature scope, integrations, and project complexity – determined in a separate quote.

The Source Code Ownership Transfer Agreement includes: full transfer of the storefront code, database structure (non‑client data), documentation, and a non‑exclusive right to use Fruvvi’s branding assets (if needed). Client assumes all responsibility for future hosting, security, and maintenance. Fruvvi will provide up to 2 hours of migration assistance. No recurring fees apply after transfer, but support and future updates are not included unless a separate maintenance agreement is signed.

14. General Provisions

Notices: Official notices must be sent via email to support@fruvvi.com and are deemed received 24 hours after sending. WhatsApp messages are for informal communication only.

Entire Agreement: This Service Agreement, together with the Terms & Conditions, Privacy Policy, and Refund Policy, constitutes the entire understanding between the parties. No verbal or written representation outside these documents is binding.

Severability: If any provision of this agreement is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

Amendments: Fruvvi may update this agreement with 30 days’ notice via email to active clients. Continued use of the service after the effective date constitutes acceptance. For new clients, the version posted at the time of onboarding applies.
