1. Introduction

Welcome to Fruvvi. These Terms & Conditions govern the use of Fruvvi’s services, platforms, storefront systems, websites, automation workflows, AI tools, and related digital solutions (collectively, the “Service”). By accessing or using any Fruvvi Service, you agree to be bound by these terms. If you do not agree, please do not use our Service.

2. Definitions

  • “Platform” – Fruvvi‑operated systems and infrastructure, including storefronts, dashboards, and automation tools.
  • “Client” – The individual or business entity using Fruvvi services.
  • “Subscription” – Recurring monthly or annual service agreement under a chosen plan.
  • “Custom Project” – Any service requiring specialized development, advanced automation, or work beyond standard plan limits.
  • “Content” – Images, text, products, logos, brand assets, and any materials provided by the Client.

3. Services Provided

Fruvvi provides digital storefront systems, business websites, automation workflows, custom dashboards, AI‑powered operational tools, and related infrastructure services. Fruvvi operates primarily as a managed digital infrastructure platform and is not a marketplace, payment processor, logistics provider, or web design agency. All services are delivered as described in your selected plan or project agreement.

4. Subscriptions & Payments

Certain Fruvvi services operate on recurring subscription pricing (monthly or annually).

  • Billing: Subscriptions renew automatically unless canceled before the next billing cycle.
  • Non‑payment: Fruvvi reserves the right to suspend or remove services for overdue accounts after a 7‑day grace period.
  • Pricing changes: Fruvvi may update pricing with at least 30 days’ prior notice via email.
  • Activation fees: One‑time setup/activation fees are non‑refundable after work has commenced.

5. Free Trials

Fruvvi may offer limited‑time trial access to certain services. Trial features, duration, and availability may change without notice. Fruvvi reserves the right to terminate trial access immediately in cases of misuse, spam, abuse, or violation of these terms. After the trial period, the store will revert to Starter limitations unless a paid plan is selected.

6. Domain Policy

Subdomains: Fruvvi‑provided subdomains (e.g., yourbrand.fruvvi.com) remain under Fruvvi infrastructure ownership and may be reassigned if a subscription ends.

Custom domains: Clients purchasing custom domains are responsible for all registration and renewal costs. Fruvvi is not responsible for domain expiration caused by unpaid renewals or registrar‑related issues. Custom domain setup assistance is provided as a courtesy but not guaranteed for all registrars.

7. Client Content Responsibility

Clients are solely responsible for all content, product listings, pricing, media, trademarks, and materials uploaded or provided to Fruvvi systems. By providing content, you warrant that you own the necessary rights or have obtained permission to use it. Clients may NOT use Fruvvi for:

  • Illegal products or services
  • Fraudulent activities or misleading claims
  • Copyrighted content without rights
  • Phishing, malware, or abusive material
  • Adult or violent content

8. Ordering & Payment Disclaimer (WhatsApp & social commerce)

Fruvvi provides infrastructure tools that facilitate customer inquiries and ordering workflows via WhatsApp, Instagram, or other messaging platforms. Fruvvi does not process, verify, fulfill, deliver, or guarantee any business transaction between Clients and their customers. All sales, refunds, disputes, and delivery issues are the sole responsibility of the Client.

9. Third‑Party Services

Fruvvi may integrate with third‑party platforms such as WhatsApp, Google Forms, Cloudflare, payment gateways, or hosting providers. Fruvvi is not responsible for outages, limitations, policy changes, or interruptions caused by these third‑party providers. Clients should review the terms of those services separately.

10. Service Availability

Fruvvi aims to maintain reliable service availability but does not guarantee uninterrupted or error‑free operation. Planned maintenance, emergencies, or third‑party failures may cause temporary downtime. We will make reasonable efforts to notify Clients in advance of planned maintenance.

11. Support & Revisions

Each subscription plan includes a defined number of revisions/updates per month (e.g., 3 for Basic, 10 for Pro). Revisions include text edits, image swaps, product additions, and minor design adjustments. Structural changes, new page layouts, advanced automation, or work exceeding the plan’s revision allowance will be quoted separately. Support is provided via WhatsApp and email during business hours (Monday–Saturday, 9am–7pm IST).

12. Source Code & Ownership

Default managed system: Unless explicitly agreed otherwise in writing, Fruvvi services operate as managed systems under Fruvvi infrastructure and operational management. Clients do not receive full source code ownership of the underlying platform, templates, or proprietary workflows.

Custom ownership transfer: Full source code ownership transfers, infrastructure migrations, or deployment handovers may be arranged under a separate Custom plan or written agreement with applicable pricing. Standard subscription plans (Starter, Basic, Pro) do not include source code ownership or the right to self‑host the platform.

13. Termination

By Fruvvi: We may suspend or terminate services immediately for unpaid invoices, abuse, fraud, policy violations, or illegal activity.

By Client: You may cancel your subscription at any time by contacting us. Cancellation takes effect at the end of the current billing cycle. No partial refunds are issued for unused days. Your store remains active until the end of the paid period.

14. Refund Policy

Refund eligibility is governed by our separate Refund Policy. Activation fees and completed custom work are non‑refundable unless otherwise stated.

15. Limitation of Liability

To the maximum extent permitted by law, Fruvvi shall not be liable for indirect, incidental, or consequential damages, including lost revenue, lost profits, business interruption, customer disputes, or data loss arising from the use or inability to use the Service. Fruvvi’s total liability is limited to the total fees paid by the Client in the three (3) months preceding the claim.

16. Intellectual Property

Fruvvi branding, system architecture, design elements, proprietary workflows, and platform code remain the intellectual property of Fruvvi unless explicitly transferred through a written agreement. Clients retain ownership of their brand assets, content, and product data.

17. Modifications to Terms

Fruvvi reserves the right to update or modify these Terms & Conditions periodically. Active subscribers will be notified via email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

18. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. Any dispute arising out of or relating to these terms shall first be attempted to be resolved through good‑faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Kerala, India.
